Terms of Service
The agreement between you and the operator of Veyra. It is deliberately short and plain: Veyra is early-stage software given to you as it is, and these terms say so rather than implying more than the product can currently deliver.
The agreement
These terms are between you and Drew Weber, who operates Veyra as an independent individual. "Veyra", "we" and "us" mean that operator and the software; "you" means the person using it, and any business you use it on behalf of.
By creating an account or using Veyra, you accept these terms and the Privacy Policy. If you are using Veyra for a company, you confirm you are allowed to accept these terms for it. If you do not accept them, do not use Veyra.
Accounts
- You need an account to use the application. Give a real name and an email address you control, and keep them current.
- You are responsible for your password and for what happens under your account. Use a password you do not use elsewhere, and tell us promptly if you believe someone else has access.
- Do not share one account between people who should have their own, and do not use anyone else's account.
- Creating an account creates a workspace. Where a workspace has several members, the members with owner or administrator roles control who else can reach its records.
- Veyra is not for anyone under 16, and it is intended for business rather than personal use.
Acceptable use
While using Veyra, do not:
- break the law, infringe anyone's rights, or use Veyra to store or move unlawful material;
- try to reach another business's workspace, another person's account, or any part of the system you have not been given access to;
- probe, scan, overload or attack the service, circumvent its rate limits, or automate it at a volume that degrades it for other people;
- upload malware, or deliberately submit data designed to break or exploit the application;
- copy, resell, sublicense or rebrand Veyra as your own product, or use it to build a competing service;
- remove or obscure any notice of ownership, or misrepresent your relationship with Veyra.
Connecting an outside system, such as a point-of-sale account, also means following that provider's own terms. You confirm you are entitled to authorise the connection you make.
Your responsibilities
- Your records are yours to get right. Veyra calculates from what it is given. Stock levels, minimums, costs, lead times and sales history you enter or import determine everything it reports back.
- Other people's information. Supplier contacts and anything else you enter about identifiable people is your responsibility: you must be entitled to record it, and to have Veyra store it on your behalf.
- Your own legal duties. Tax, accounting, stock-keeping, employment and consumer obligations that apply to your business remain yours. Veyra is a tool, not a compliance service.
- Your own copies. Veyra does not currently offer a self-service export or a customer-facing backup. If a record matters to your business, do not let Veyra be the only place it exists.
Your data
The records you put into Veyra remain yours. You give us permission to store, process and display them for the purpose of operating the service for you, nothing more. We do not sell them, share them with advertisers, or use them to train machine learning models. What is collected and how it is handled is set out in the Privacy Policy.
You can delete your account and its workspace records at any time from Settings. What that removes, and what survives in a shared workspace, is described in the Privacy Policy.
Price and payment
Veyra does not currently charge anything. There is no subscription, no trial that converts into one, no payment processor connected, and no card details are collected. Nothing in these terms obliges you to pay.
If paid plans are introduced later, the price, the billing period and what is included will be published before anyone is charged, and no existing account will be charged without agreeing to the price first. These terms and the Refund & Cancellation Policy will be updated at the same time.
Cancellation
You can stop using Veyra whenever you like, and delete your account from Settings. Because there is nothing to pay, there is nothing to cancel in a billing sense today. The full position, including what happens to your records, is in the Refund & Cancellation Policy.
Intellectual property
Veyra, the software, the website, the interface, the name and the logo, belongs to its operator. These terms give you permission to use the service as it is offered; they do not transfer any ownership, and they do not grant a licence to the Veyra name or mark.
Your workspace records are not covered by that: as stated above, they remain yours.
Feedback
If you send a suggestion, a bug report or an idea, we may act on it and build it into Veyra without owing you payment or attribution. You keep whatever rights you already had in it; you are simply not restricting us from acting on it. Do not send anything you consider confidential.
Service availability
Veyra is early-stage software under active development. There is no uptime commitment and no service level agreement. The service may be unavailable for maintenance, for faults, or because a provider it depends on is down.
Features may change, be reworked, or be withdrawn, and parts of the product are not finished; the application says so where that is the case. We may also suspend or discontinue Veyra entirely. If that happens, we will give notice where it is reasonably possible to do so and allow a period to request a copy of your records before they are removed.
Disclaimers
Veyra is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that Veyra will be uninterrupted, error-free, secure against every attack, or that any figure it reports is accurate.
In particular, reorder recommendations, days-of-cover figures, low-stock flags and every other derived number are estimates calculated from the data available. They are not professional, financial, accounting or purchasing advice, and they are not guarantees about future demand. Purchasing decisions are yours, and you are responsible for reviewing them before acting.
Where Veyra imports from an outside system, it reports what that system returned. We are not responsible for the accuracy or availability of a third-party service, or for what it does with data you authorise it to exchange.
Limitation of liability
To the fullest extent permitted by law, neither the operator of Veyra nor anyone working on it is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost sales, lost goodwill, wasted purchasing, stock bought or not bought, or loss or corruption of data, however caused and whatever the theory of liability.
Our total liability for all claims relating to Veyra is limited to the greater of the amount you actually paid us in the twelve months before the claim, currently nothing, because Veyra is free, or one hundred United States dollars.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that applies to you, these limits apply only as far as that law permits, and nothing here excludes liability that cannot lawfully be excluded, including for fraud.
Indemnity
If a third party brings a claim against us because of how you used Veyra, including records you entered that you were not entitled to enter, or your breach of these terms; you agree to cover the reasonable costs and damages that result. We will tell you promptly about any such claim and let you take part in defending it.
Termination
You may stop at any time by deleting your account in Settings, or by simply not using it.
We may suspend or close an account that breaks these terms, that is being used to harm the service or another user, or where we are required to by law. Where the circumstances allow it, we will say why and give you a chance to put it right first, and to ask for a copy of your records before they are removed.
When an account closes, access ends and the records described in the Privacy Policy are deleted. The clauses that are meant to survive, intellectual property, disclaimers, liability, indemnity and governing law, continue to apply.
Changes to these terms
We may revise these terms as Veyra develops, and in particular before charging for anything. When we do, the date at the top of this page changes. Veyra has no mail transport connected, so we cannot email you about a revision; that date is the notice. Continuing to use Veyra after a change means the current version applies to you, and the previous wording is available on request.
Governing law
These terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-laws rules. Any dispute arising from them or from your use of Veyra will be brought in the state or federal courts located in Michigan, and you and we each consent to those courts. If you are a consumer, this does not remove any right you have to bring a claim where you live when the law gives you that right.
If any part of these terms is found unenforceable, the rest continues to apply. These terms, together with the Privacy Policy and the Refund & Cancellation Policy, are the whole agreement between us about Veyra.
